Article 1 (Objectives)

The objective of Johnny’s Family Club (referred to below as “The Fan Club”) is to support each artist, both individuals and groups, affiliated with Johnny & Associates (referred to below as “Artists”).

Article 2 (Membership Agreement)

1.
This membership agreement (referred to below as “The Agreement”) will apply when applying for membership as well as when using any and all services (referred to below as “The Service”) provided by The Fan Club operated by Johnny & Associates (referred to below as “The Company”). Upon applying for membership, it will be assumed that an individual has agreed to the terms of The Agreement.
2.
Should the need for adjustments, additions, corrections, or removals (referred to below as “Adjustments, Et cetera”) arise, any Adjustments, Et cetera that are made by The Company will be reasonable, appropriate, and will also lie within the bounds of the goals of The Agreement as it is before any such changes have been reflected.
3.
In the event that Adjustments, Et cetera will be made, The Company will make these changes known by notifying members using the methods outlined in Article 4 (Notification) and will do so an appropriate amount of time in advance. Members will be notified of the details of the Adjustments, Et cetera to be made, and the date they will take effect.
4.
Should The Company provide appropriate notice, as outlined in the section above, all Adjustments, Et cetera made to The Agreement will be considered to be in effect regardless of whether or not a member is aware of the changes.
5.
Following a notification by The Company of the Adjustments, Et cetera, a member may file an appeal against The Company within a certain time frame. Additionally, a member who finds themselves to be at a significant disadvantage as a result of any Adjustments, Et cetera may file for termination of all of their memberships in The Fan Club, even while a membership is ongoing, by revealing their reason(s) for doing so. The Company will handle any appeals and requests by a member to terminate their ongoing membership with integrity.

Article 3 (Definitions)

The definitions of terms used in The Agreement are as follows.

(1)
A “member” is any individual who has agreed to The Agreement, applied for membership for The Fan Club using methods specified by The Company, is someone who has been granted membership by The Company, and who meets all requirements outlined in Article 5, Section 1.
(2)
“Member information” is any information provided to The Company by a member while filing for membership as outlined in Article 6, Section 1 or when making changes to member information as outlined in Article 9, Section 5.
(3)
A “membership card” is a certificate using a format mandated by The Company that has been issued and sent by the Company to serve as proof of membership in The Fan Club.
(4)
A “member’s site” is an Artists’ site within “Johnny’s net” that has been set up and is open exclusively to fan club members of said Artists.
(5)
“My Page” refers to pages that exist within the member’s site that have been assigned exclusively to each individual member.

Article 4 (Notifications)

1.
The Company will notify a member about information concerning The Agreement, upcoming performances, and other information deemed necessary, through updates to the member’s site, the delivery of emails, and other methods deemed appropriate by The Company.
2.
Notifications to a member, as outlined in the above section, will be considered complete when the following conditions have been met. If a notification is made through an update to the member’s site, then notification will be considered complete as soon as the notification is displayed on the site and becomes viewable by members. If a notification is made through email, then notification will be considered complete as soon as the notification has been sent to the email address registered by a member at the time of the notification. Additionally, if a notification is to be made using other methods deemed appropriate by The Company, then notification will be considered complete as soon as the notification has been delivered to the address registered by a member at the time of the notification.
3.
Notification of information regarding the date of dispatch and such of the Club Newsletter will be made available on the member’s site. If the Club Newsletter or other items arrive late or do not arrive at all, please contact The Company immediately.

Article 5 (Members)

1.
A member will be expected to meet all of the following requirements and guarantee their compliance with the following.
(1)
All member information provided is accurate and free of falsehood.
(2)
That one is an individual and not a juristic person or other entity.
(3)
If one is a minor, then prior consent for fan club membership has been given by a parent or legal guardian. The parent or legal guardian will have given their consent and be responsible for the use of the fan club.
(4).
One resides in Japan with an address in Japan to which mail can be delivered by a domestic postal service.
(5)
Both initial and annual fees specified by The Company for fan clubs for each of the Artists (referred to below as “Each Fan Club”) are paid by the appointed day using the appointed method(s).
(6)
When applying for membership, one must not already be a member of the individual Artists’ fan club that one is applying for. Additionally, one may not be a registered member of the same Artists’ fan club more than once.
(7)
With regards to fan clubs operated by The Company, one must not have had their membership forcefully terminated in the past.
(8)
With regards to tickets either obtained from organizers, or tickets and items similar to tickets which one is seeking to obtain, for performances and such which Artists belonging to The Company are taking part in, one must not have resold or transferred to a third party, made any attempt to resell or transfer to a third party, or taken similar actions.
(9)
Members must not use their position and rights as members for any purpose other than personal enjoyment.
(10)
One must immediately be able to present either an original or a copy of ID to The Company should The Company ask that ID be shown.
(11)
One must not belong to organized crime groups, corporations or entities affiliated with organized crime groups, or other organizations harmful to society. Additionally, one must not have close ties to members of organized crime groups or other factions harmful to society.
2.
Membership will remain valid for 1 year starting from the first day of the following month after membership has been accepted by The Company. The membership period will be listed in the member’s site’s My Page.
3.
With regards to applications for Bangumi Kyoryoku, participation in events, concerts, the viewing of stage performances and other events (referred to below as “Bangumi Kyoryoku, Et cetera”), a member acknowledges that there may be restrictions to participate in Bangumi Kyoryoku, Et cetera opportunities, such as a lottery, circumstances arising from the venue, or the content of the Bangumi Kyoryoku, Et cetera. A member also acknowledges that there are Bangumi Kyoryoku, Et cetera opportunities that a member can not apply for, and that seats and reference numbers are sometimes given out by lottery instead of on a first-come, first-served basis.
4.
With regards to their rights as a member, a member can not transfer, loan, change the registered name, offer or be offered collateral, or take other actions that fall under the category of actions aiding third parties.

Article 6 (Registration)

1.
An individual wishing to become a member must agree to all the terms listed in The Agreement, and by following other procedures outlined by The Company, may apply for membership in Each Fan Club. Additionally, individuals seeking to use the member’s site to input their information and register for membership on their own should ensure that any information that is inputted is accurate.
2.
Using the guidelines outlined in The Agreement for joining Each Fan Club, The Company will accept membership applications from prospective member candidates. Following all necessary evaluations and procedures, membership will be granted. However, in the event that confirmation can not be found that a prospective member candidate meets the criteria listed in Article 5, Section 1, or should there exist other information that leads The Company to deem a prospective member candidate unsuitable for membership, The Company reserves the right to deny membership.
3.
Once The Company has confirmed the payment of the initial and annual fee, and a prospective member candidate’s request for membership has been granted, The Company will send a notification email with the member’s membership number to the email address provided by the prospective member candidate during their registration. However, if a prospective member candidate inputs their email address incorrectly or there are garbled characters that can not be read properly and such, or in the event that an email can not be sent, is delivered to the wrong address, arrives late, or is blocked and results in a failed delivery of the email, and the fault lies with a prospective member candidate, The Company will not be held responsible.
4.
Membership cards will be issued or sent in accordance with the following procedures for each fan club that a member joins.
(1)
Each Fan Club for Artists that do not belong to Clause (2) of this section
Along with a notification of the membership number as listed in Section 3 of this article, or as a replacement for the membership number as listed in Section 3 of this article, The Company will send a membership card that has been formatted in accordance with The Company’s mandate.
(2)
Johnnys’ Jr. fan clubs (Johnnys’ Jr. Info)
Along with a notification of the membership number as listed in Section 3 of this article, The Company will send an online membership card. The online membership card will be displayed on My Page, and members will be able to view and confirm their cards on the operating systems or browsers listed on “Johnny’s net.”

Article 7 (Initial and Annual Fees)

1.
Prospective member candidates will be expected to pay a separate initial and annual fee as specified by each fan club using the method(s) specified by The Company by the date specified by The Company.
2.
Should a member wish to renew their membership after their membership has expired, they can do so within a 3 month period after their membership has expired by paying the annual fee for the next year. Their membership will then remain valid for a period of 1 year from the last day their aforementioned membership was valid. In the event that the payment deadline specified by The Fan Club has not been met, renewal of an existing membership will no longer be possible, and it will be necessary to apply for membership again.

Aritcle 8 (Member Bonuses)

1.
A member will be eligible for advance ticket purchasing opportunities (The Company will determine each time whether or not there will be advance ticket purchasing opportunities as well as other requirements), have access to the latest news about Artists, have access to videos using methods specified by The Company featuring Artists (referred to below as “The Streamed Videos”), and be eligible for member bonuses specified by Each Fan Club (referred to below as “The Fan Club’s Member Bonuses”). In the event that changes to The Fan Club’s Member Bonuses have to be made, The Company will provide advance notice on “Johnny’s net” before making said changes. Additionally, please note that a member may be unable to access some or all of The Fan Club’s Member Bonuses unless their system is capable of using the operating systems or browsers listed on “Johnny’s net.”
2.
The recommended system specs for viewing The Streamed Videos will be available on the member’s sites. However, should a member encounter problems or be unable to view The Streamed Videos due to circumstances that lie with the said member, The Company will not be held responsible.
3.
The Company will assume full copyright of all of the content of The Streamed Videos (collectively defined as any information (footage, images, written information) that becomes available as a result of the streaming of said videos), all images, and all written information that is included as a part of The Fan Club’s Member Bonuses, as well as all information provided by The Service (collectively referred to below as “The Information”).
4.
The content of The Streamed Videos is subject to change or removal without prior notice.

Article 9 (Member Obligations, Etc.)

1.
A member will be responsible for the management of their membership card granted by The Fan Club, their membership number, and their password. Should a member encounter any trouble as a result of failing to manage said items, misuse, or use by a third party, The Company will not be held responsible.
2.
A member may not lend, resell, offer, or change the registered name and such for a third party with regards to a membership card, membership number, or password issued by The Company.
3.
Should a membership card become lost, once and only once, a member may have their membership card reissued by promptly notifying The Fan Club and following the procedures outlined by The Company for reissuing a membership card (however, this does not apply to online membership certificates). Additionally, a member must pay for any fees required for reissuing and delivering a membership card using the procedures outlined by The Company.
4.
Due to there being the possibility that The Company or companies working on behalf of The Company at the venue of a performance and such will ask a member to show their membership card and ID, a member must always have these items on their person at the venue of a performance. Should a member fail to comply with a request to show their membership card and ID, or should a member not have these items on their person, a member may be denied entry into the venue in question (should a member already be inside a venue, they may be asked to leave). In such cases, the member in question may not ask for a refund regardless of the reason.
5.
In the event that there are changes to their member information, a member must promptly update their information using the procedure specified elsewhere by The Company. As a result of failing to go through the updating procedure, should a member fail to receive notifications from The Fan Club, or be unable to take advantage of The Fan Club’s Member Bonuses (including due to late or failed deliveries), The Company will not be held responsible.
6.
A member is responsible for preparing an environment for the use of The Service by preparing telecommunications equipment, software, and entering into contracts for telephone and internet services. Any fees incurred are the responsibility of the member. Additionally, all costs such as communication and internet connection charges relating to The Service are to be borne by the member.

Article 10 (Prohibited Acts)

1.
Members are prohibited from engaging in the following activities.
(1)
Any action that violates The Agreement.
(2)
Lending, reselling, transferring, changing registered names of membership (including membership cards), the use of false names, and the use of names, addresses, or telephone numbers belonging to other individuals.
(3)
Any action that violates the Concert Jimukyoku’s ticket-sales agreement.
(4)
Any action using one’s status as a member or rights as a member for the purpose of commercial or equivalent activities.
(5)
The unlawful duplication, modification, or re-uploading or distribution of The Information or copyrighted materials belonging to Artists.
(6)
Any acts that are listed below that are related to The Fan Club’s Member Bonuses.
 (a)
With regard to The Fan Club’s Member Bonuses, any act that either violates or may potentially violate copyright, intellectual property rights such as trademarks, personality rights, the right of publicity, the right to privacy, and any other rights.
 (b)
The use of information gained through The Fan Club’s Member Bonuses for purposes other than the execution of one’s rights as a member.
 (c)
Acts such as granting usage of, transferring, or selling a member’s email address to a third party.
 (d)
The use of computer viruses and other malicious programs through or in relation to the content, or to provide the content.
(7)
Any acts that are listed below that are related to Bangumi Kyoryoku, Et cetera opportunities.
 (a)
Refusing to present one’s membership card and ID when asked to do so in order to prove that tickets and other items which are required to participate in Bangumi Kyoryoku, Et cetera opportunities belong to the member in question.
 (b)
Bringing cameras or equipment used for the recording of video footage or audio.
 (c)
Taking photos or recording videos and such, as well as acts of recording audio and footage.
 (d)
Failure to comply with the requests of involved parties in charge.
 (e)
Acts that cause trouble for third parties, including other participants, or that prevent a show and such from proceeding smoothly.
(8)
Acts that infringe on the property, reputation, trust, and privacy rights of Artists, The Company and any affiliated entities, The Fan Club, and other members.
(9)
Excessive pursuit of Artists, acts of slander and such against Artists, or attempts to forcefully get into contact with or secure an interview with Artists, The Company, and any affiliated entities.
(10)
Regardless of the methods employed, any act that causes harm to the operation of The Fan Club, The Company, and its affiliated entities.
(11)
Taking information provided by The Company to its members and reposting it on other media or divulging said information to third parties who are not members.
(12)
Acts in violation of laws and regulations or that may possibly violate laws and regulations
(13)
Other acts that could be deemed inappropriate or that could be considered indecent for a member of The Fan Club.
2.
Should The Company or other third parties suffer harm as a result of the acts mentioned in the previous sections, the member in question will be held liable for damages.

Article 11 (Termination of Membership)

1.
While a member’s membership is still active, should they express their desire to withdraw their membership from any or all of Each Fan Club in which they are a member, the member in question should follow the procedure outlined by The Company for terminating their membership. Once the termination procedure is complete, membership will be considered terminated. Additionally, with the exception of when a member follows the procedure for renewing their membership within 3 months of termination as outlined in Article 7, Section 2, the member in question’s membership will automatically be terminated once their membership expires.
2.
Should any of the following clauses apply to a member at any time, the member in question’s membership will automatically and immediately be terminated without notice or warning, and their status and all rights as a member will be forfeit. If a member has ordered or has already paid for and is in possession of a ticket at the time of a forced termination based on this section, admission using the said ticket will be voided and any amount already paid will not be refunded. Additionally, a member who has been forcefully terminated on the basis of this section loses all rights to seek compensation for damages and such.
(1)
After gaining membership, the member no longer meets the requirements outlined in Article 5, Section 1.
(2)
A member commits one of the prohibited actions listed in the article above or violates The Agreement in some way.
3.
Should a member become ineligible for membership due to the reasons outlined in the previous 2 sections, there will be no refund of initial and annual fees and such that have already been paid.

Article 12 (Damages)

1.
Should a member cause harm to The Company or other third parties in the course of using The Fan Club’s services, and should the reasons for the harm lie with the said member, they will be held liable for damages.
2.
Should a member receive a complaint or be held liable for damages by another member or third party in the course of using The Fan Club’s services, or should some kind of dispute arise, the said member will be responsible for resolving the issue and any costs incurred.

Article 13 (Disclaimers)

1.
The Company does not provide guarantees for the completeness, accuracy, or up-to-dateness, or any other condition of the content or information of The Service that it provides.
2.
With the exception of instances where The Company is responsible for the harm caused, The Company will not be held responsible for any harm to its members, direct or indirect, as a result of The Service and each of the information it provides. Additionally, should The Company be liable for damages as a result of harm caused by The Service and such that it provides, except in instances of willful intent or gross negligence, damages will be limited to an amount equal to the sum total of the amount paid for services rendered by the relevant fan club for the year in question by the relevant member.
3.
As a result of a member’s decision to not use the internet or electronic equipment such as personal computers, should there be problems such as delays in the relaying of information or the inability to receive The Fan Club’s Member Bonuses, The Company will not be held responsible.
4.
In response to notifications provided by The Company, should a member fail to apply within the designated time frame (including instances when the time frame is missed as a result of the said member failing to check the notification), the said member loses the right to apply and may not file an appeal of any kind.
5.
Should the date specified for an event be missed, such as due to a member not checking the ticket required for participating, the said ticket for participating will become void and no refunds will be offered.
6.
The Company will not be held responsible for any problems caused by procedures employed by financial institutions or post office related accidents.

Article 14 (About the Handling of Personal Information)

The Company will handle the personal information of members in accordance with the privacy policy outlined on “Johnny’s net.”

Article 15 (Halting, Suspending, and Changes Made to Services)

1.
In the case of instances outlined in the clauses below, The Company may halt, suspend, or make changes to some or all of The Service it provides.
(1)
Problems arise with the equipment used to provide The Service or when maintenance inspections and repairs and such need to be conducted.
(2)
The Service can no longer be provided due to unforeseeable circumstances such as a fire, blackout, or natural disaster.
(3)
When it has been deemed that providing The Service will be difficult due to other causes.
2.
In the event of cases falling under the previously mentioned section, The Company will notify members in advance using methods it deems appropriate. However, in the event of an emergency, this will not always be the case.

Article 16 (Resolution of Disputes, Jurisdiction)

1.
Should there be an item not mentioned in The Agreement or should clarification regarding The Agreement be necessary, both The Company and members will hold sincere talks in an effort to resolve the issue.
2.
Should a dispute between The Company and members of The Fan Club arise that has to be resolved in a lawsuit, the Tokyo District Court or the Tokyo Summary Court will have jurisdiction during the first hearing.
